1. Parties and definitions

These Terms & Conditions (“Terms”) constitute a legally binding agreement between Aspiro AI Ltd, a company incorporated in England and Wales (“Aspiro”, “we”, “us”), and the individual or entity accessing or using the Aspiro StateMint platform (“you”, “the Broker”). By creating an account and completing onboarding you confirm you have read, understood, and accepted these Terms.

  • Platform: the Aspiro StateMint web application, including all features, APIs, and related services.
  • Statement: a bank statement or CSV export uploaded by the Broker for analysis.
  • Analysis: the structured output produced by the Platform from a Statement.
  • Credits: the unit of account used to run Analyses.

2. Service description

Aspiro StateMint is a productivity tool that uses artificial intelligence to extract, categorise, and summarise financial data from bank statements. It is designed to assist regulated mortgage, vehicle-finance, and personal-finance brokers in preparing case documentation. It is not regulated financial software, does not constitute financial advice, and does not make lending decisions.

3. Eligibility

The Platform is available only to individuals who are authorised and regulated (or employed by a firm that is authorised and regulated) to carry out regulated credit or mortgage activities in the United Kingdom or equivalent regulated activities in Australia. By registering you confirm that this applies to you.

4. Account registration

You must provide accurate information at registration and onboarding, including your name, firm, market, and areas of practice. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

5. Acceptable use

You agree not to:

  • Upload Statements without the explicit consent of the data subject where required by law.
  • Use the Platform to process data for any purpose other than preparing mortgage or finance case documentation.
  • Attempt to reverse-engineer, scrape, or extract the underlying models or prompts.
  • Use the Platform in any way that violates applicable law or regulation.
  • Share your account credentials with any third party.

6. Your responsibility to verify outputs

The Analysis produced by the Platform is generated by AI and may contain errors, omissions, or misclassifications. You are solely responsible for verifying the accuracy of any Analysis before relying on it, sharing it with a lender, or incorporating it into any application or report. Aspiro accepts no liability for decisions made by you or any third party on the basis of unverified outputs.

7. Credits and billing

Each Analysis consumes one or more Credits. Credit purchases, subscription terms, and refund policies are set out separately in the billing documentation provided at the point of purchase. Unused Credits have no cash value and are non-refundable except as required by law.

8. Intellectual property

All intellectual property rights in the Platform, including its software, design, and documentation, belong to Aspiro or its licensors. You retain all rights in the Statements you upload. You grant Aspiro a limited licence to process your Statements solely for the purpose of providing the service to you. Aspiro does not use client Statement data to train models.

9. Privacy and data

Your use of the Platform is subject to our Privacy Policyand, where you are processing your clients’ personal data using the Platform, our Data Processing Agreement. Uploaded Statement source files are not persisted; only derived Analysis data is stored.

10. Warranties and disclaimers

The Platform is provided “as is” without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

Nothing in these Terms constitutes financial advice, credit assessment, affordability assessment, or any other regulated activity. The Platform is a document productivity tool.

11. Limitation of liability

To the maximum extent permitted by applicable law, Aspiro’s total liability to you for any claims arising under or in connection with these Terms shall not exceed the fees paid by you in the twelve months preceding the event giving rise to the claim. Aspiro shall not be liable for any indirect, consequential, special, or incidental loss or damage.

12. Suspension and termination

We may suspend or terminate your access to the Platform immediately if you breach these Terms, if required by law, or if we reasonably believe your use poses a risk to us, other users, or third parties. You may terminate your account at any time by contacting us.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email at least 14 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.

14. Governing law

These Terms are governed by and construed in accordance with the law of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
